Simple voluntary liquidations of dormant LLCs with no debts are cheaper and faster than cases involving assets or disputes.
How long does voluntary liquidation of an LLC take in Ukraine?
Voluntary liquidation typically takes from 3 to 6 months, since the law requires a minimum 2-month window after the liquidation notice is published (following registration of the liquidation decision in the Unified State Register, USR) for creditors to file claims, plus tax audit and de-registration time. Complex cases with tax debts or asset disputes can take longer.
What documents are needed to liquidate a company?
You need the founders' decision (protocol) on liquidation, the founder's/participant's passport and tax ID, company charter, appointment of a liquidation commission or liquidator, and, after the process, an interim and final liquidation balance sheet filed with the state registrar. Additional documents may be requested if the company has employees, real estate, or a bank account.
Can a foreign founder liquidate a Ukrainian company remotely?
Yes, a foreign founder can liquidate a Ukrainian LLC without personal presence by issuing a notarized power of attorney (apostilled, or legalized for countries outside the Hague Apostille Convention) to a Ukrainian lawyer, who then files documents with the state registrar via a notary or Diia. A Ukrainian bank account and tax clearance are still required to close the company fully.
What happens if the company has debts and can't pay creditors?
If a company's liabilities exceed its assets and voluntary liquidation is not possible, the case must go through bankruptcy proceedings under the Code of Ukraine on Bankruptcy Procedures (in force since 21.10.2019), not ordinary liquidation via the state registrar.
