In short. We change the director of a Ukrainian LLC (TOV) from 700 UAH: we draft the participants’ decision, the order and the application, file them with the state registrar and check the record in the Unified State Register (USR). The registrar reviews the filing within 24 hours, excluding weekends and holidays (Art. 26 of Law No. 755-IV). The 2026 administrative fee is 1,000 UAH, or 750 UAH for e-filing. How the change of director works: 5 steps
The decision is taken by the general meeting of participants or by the sole participant. One decision both dismisses the outgoing director and appoints the new one, so the company always has a head.
If the votes of no more than 10 participants are enough to pass the decision, it is signed only by the participants who voted for it and whose votes are sufficient, unless the charter says otherwise (Art. 15 of Law No. 755-IV). The registrar receives the application and the decision (Art. 17(4)); a representative also files a power of attorney.
Documents filed for registration must be in Ukrainian (Art. 15), so papers signed abroad need a certified Ukrainian translation, and an apostille or legalisation where required.
