In short. Since 3 September 2024, representative offices of foreign companies are registered by state registrars in the Unified State Register (USR), under the same rules as Ukrainian legal entities (Law No. 3257-IX). We review the parent company’s documents, arrange translation and apostille, draft the office regulations and the head’s power of attorney, file with the registrar and register the office with the State Tax Service. What changed on 3 September 2024
- registration of representative offices and branches of foreign companies moved from the Ministry of Economy to the Unified State Register — applications are accepted by administrative service centres (TsNAP), local councils and notaries;
- the application uses the form approved by the Ministry of Justice (Order No. 2518/5 of 26.08.2024);
- for offices accredited before 03.09.2024 the Ministry of Justice transfers the data to the USR with no extra documents or fee — we check whether your record has been transferred.

How much does it cost to register a foreign company representative office in Ukraine?
Our fee is from UAH 7,000: document review, regulations and power of attorney, filing and tax registration. The USR administrative fee, translation, notary and apostille are paid separately. We confirm the final amount after reviewing the parent company’s documents.
Who registers representative offices now?
Since 3 September 2024 — state registrars: the data is entered into the Unified State Register, and applications are accepted by TsNAP centres, local councils and notaries. A separate Ministry of Economy registration no longer applies to new offices (Law No. 3257-IX).
How long does registration take?
In our experience, from 25 working days from the first consultation to the USR record. Apostille and translation of the parent company’s documents take the most time; it depends on the country of registration.
What documents are required?
An extract from the trade register of the parent company’s country, constitutional documents, ownership structure and beneficial owner details, the decision to open the office, a power of attorney for the head and the head’s passport. Foreign documents need an apostille and a notarised Ukrainian translation. We draft the application and regulations.
What is the difference between a representative office, a branch and an LLC?
A representative office and a branch act on behalf of the foreign company and are not separate legal entities. A branch may carry out the parent’s commercial activity; a representative office usually performs representative and marketing functions. An LLC with a foreign founder is a separate Ukrainian legal entity liable with its own assets.
Does the owner or the head need to come to Ukraine?
Usually not. The decision and power of attorney are signed abroad, apostilled and sent to us; we file under the power of attorney. We prepare the texts for signing.
Does the office need to register with the tax authority?
Yes, a non-resident’s representative office registers with the State Tax Service. Its tax obligations depend on whether it carries out business activity in Ukraine — we go through this at the consultation before filing.
What about an office accredited with the Ministry of Economy before September 2024?
The Ministry of Justice transfers its data to the USR; no extra documents or fee are needed for the transfer. We check the record and prepare amendments if the head or address has changed.
