How we register an LLC with a non-resident founder: 5 steps

1. Founder checkpassport or trade register extract2. Apostille and translationat home and in Ukraine3. Document packresolution, charter, ownership chart4. Filingregistrar decides in 24 h · fee 05. LLC in the registerextract, then tax office and bank
Procedure under Articles 15, 17, 26 and 36 of Law No. 755-IV.

To register an LLC you file an application, the founders’ resolution on formation, the charter (or a statement that the company runs on the model charter), the ownership structure and a copy of the ID document of each ultimate beneficial owner (Art. 17(1), Law No. 755-IV). When the founder is a foreign company, an extract from the trade, bank or court register of its home country confirming its registration is added.

Documents issued abroad must be legalised or apostilled unless an international treaty waives this, and documents in a foreign language must be translated into Ukrainian with the translation or the translator’s signature certified (Art. 15(13)–(14)). Registration is extraterritorial (Art. 7), so from our Lviv office we register a company with an address in Kyiv or any other city.

What the service includes

  • review of the founder’s documents and a list of what to apostille in the founder’s country;
  • drafts of the power of attorney and the resolution to sign abroad;
  • the LLC charter or the choice of the model charter, the ownership structure and beneficial owner details;
  • certified translations, filing with the registrar, collecting the register extract;
  • a plan for the next steps: tax registration, bank account, director.

What we need from the founder

  • foreign individual — passport; a Ukrainian tax number (TIN) if you have one, and if not, we obtain a TIN for a foreigner;
  • foreign company — an extract from its home trade register, documents confirming the signatory’s authority, beneficial owner details;
  • a power of attorney for our lawyer, signed before a notary abroad and apostilled, if the founder does not come to Ukraine;
  • details of the director: passport and tax number.

If the director is a foreigner too

To employ a foreigner as the LLC director, the company usually obtains a work permit for a foreigner: UAH 4,500 on our price list, from 5 working days. Whether you need it depends on the foreigner’s status in Ukraine, and we check that at the start.

Signing documents online requires a qualified electronic signature: we help you get electronic keys.

New LLC or foreign investment into an existing company?

This page covers a new LLC with a foreign founder. If the investor buys a stake in an existing Ukrainian company or plans an investment large enough to apply for a temporary residence permit, see registering a company with foreign investment. If the foreign company needs a presence without a separate legal entity, compare with registering a representative office.

Frequently asked questions

Can a foreigner be the sole founder of an LLC in Ukraine?
Yes. A foreign individual or a foreign company can found a Ukrainian LLC, including as its only member. The difference from a resident founder is the document pack: documents issued abroad are apostilled or legalised and translated into Ukrainian (Art. 15, Law No. 755-IV), and a foreign company adds an extract from its home trade register (Art. 17).
What documents does a non-resident founder need?
An individual provides a passport with a translation. A foreign company provides an extract from the trade, bank or court register of its home country, apostilled or legalised and translated. Every LLC also files the ownership structure and a copy of the ID document of the ultimate beneficial owner (Art. 17(1), Law No. 755-IV).
How long does registration take?
The registrar reviews the documents within 24 hours, excluding weekends and public holidays (Art. 26, Law No. 755-IV). In our experience the whole job takes from 7 working days: the apostille and translation in the founder’s country take the longest.
Does the founder have to come to Ukraine?
You can do it remotely: the founder signs a power of attorney before a notary at home, gets an apostille and sends us the original, and we do the rest in Lviv. A visit is needed only if the founder prefers to sign the documents before a Ukrainian notary in person.
How much does it cost to register an LLC with a foreign founder?
There is no state fee for forming an LLC (Art. 36, Law No. 755-IV). Translations, notary and apostille are paid separately. We quote our fee after reviewing the founder’s documents: it depends on the number of founders and whether each is an individual or a company.
When must the charter capital be paid in?
There is no minimum charter capital. Each member pays in the contribution within 6 months of the registration date unless the charter sets another term (Art. 14, Law No. 2275-VIII).
Can the company be registered outside Lviv?
Yes. State registration in Ukraine is extraterritorial (Art. 7, Law No. 755-IV), so we register an LLC with an address in Kyiv or any other city from our Lviv office.
